Coateam Terms of Service

1. Agreement

These Terms of Service ("Terms") are a contract between Coateam, operated from Melbourne, Australia ("we", "us"), and the company or person creating a Coateam account ("you", "your company").

By creating a Coateam account, you agree to these Terms. If you don't agree, don't use Coateam.

2. What Coateam is

Coateam is job-management software for painting companies. It provides, among other things: a job file per project, crew scheduling and timesheets, materials and cost tracking, company cashflow, and automatic ingestion of supplier invoices sent by email.

Coateam is a business tool for managing your own company's jobs and team. It is not accounting, legal, tax, or professional advice, and you remain responsible for your business's compliance with its own legal and tax obligations.

3. Accounts and roles

One person creates the company account (the "Owner"). The Owner provides their own email and phone number.
The Owner creates worker accounts (Supervisor, Painter, etc.) inside Coateam, setting a phone number as username and a password for each worker.
Workers do not register independently and do not provide their own email to Coateam.
The Owner is responsible for: the accuracy of worker information, managing worker access (including removing workers who leave), and keeping login credentials secure.
You must be old enough to lawfully enter a business contract in your jurisdiction to create an Owner account.

You are responsible for all activity that happens under your company's account, including actions taken by workers you have added.

4. Free trial

New companies receive 3 months free, with no credit card required to start.
We will notify you before the trial ends.
If you do not subscribe to a paid plan by the end of the trial, your account is frozen, not deleted. You can reactivate at any time by subscribing — your job history, photos, and data remain intact.

5. Fees and billing

The current price is A$99/month per company, with unlimited users, unlimited jobs, and no per-seat fees. We may change pricing for future billing periods with reasonable notice; changes will not apply retroactively to a period you've already paid for.
Fees are billed [monthly, in advance] via our payment processor. You authorise us to charge your nominated payment method.
All fees are in Australian dollars and exclude GST unless stated otherwise.
Failure to pay may result in your account being frozen until payment is made.

6. Cancellation and your data

You can cancel at any time from within the app or by contacting us. There is no lock-in contract.
On cancellation, your account is frozen, not deleted. You retain the ability to request an export of your data.
Your data stays yours. We do not claim ownership of the job files, photos, notes, or business records your company creates in Coateam. If you request permanent deletion, we will delete your data within a reasonable time, subject to legal record-keeping requirements (e.g. billing history).

7. Supplier invoices and third-party emails

Coateam allows a company to receive supplier invoices at a dedicated email address (e.g. [companyname]@in.coateam.com) and have that data read automatically by AI to help assign costs to jobs.

You are responsible for who you give this address to.
AI-extracted data (supplier, date, amount) is a suggestion only. Nothing is added to your job costs or cashflow until a person in your company confirms it.
We are not responsible for errors in third-party invoices, or for the consequences of assigning an invoice to the wrong job — the confirmation step exists so your team can catch this before it affects your records.
We reserve the right to apply reasonable rate limits to this inbox to prevent abuse.

8. Acceptable use

You agree not to:

Use Coateam for any company other than the one(s) you are authorised to represent.
Attempt to access another company's data.
Upload unlawful, abusive, or infringing content.
Attempt to disrupt, reverse-engineer, or overload the service.
Use the supplier invoice inbox to send anything other than genuine business invoices/dockets.

We may suspend or terminate accounts that breach this section.

9. Service availability

We aim to keep Coateam available and reliable, but we do not guarantee uninterrupted access. The service is provided "as is" and "as available". We may perform maintenance, and from time to time the service may be unavailable due to factors outside our control (including third-party infrastructure providers).

To the maximum extent permitted by law, we exclude all warranties not expressly stated in these Terms. Nothing in these Terms excludes rights you may have under the Australian Consumer Law that cannot lawfully be excluded.

10. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising from your use of Coateam is limited to the amount you paid us in the 3 months before the claim arose. We are not liable for indirect, incidental, or consequential loss, including loss of profits, loss of business data, or business interruption — except where such liability cannot be excluded by law.

Nothing in these Terms limits liability for death, personal injury, fraud, or anything else that cannot legally be limited or excluded.

11. Termination by us

We may suspend or terminate an account if you materially breach these Terms, if required by law, or if we discontinue the service. Where reasonably possible, we will give notice and an opportunity to export your data before permanent deletion.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify account owners by email. Continued use of Coateam after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of Victoria.
